TERMS AND CONDITIONS
By becoming a member or sponsor of the Houston Energy Club you agree to the following terms:
Membership
The Houston Energy Club has three membership classes: voting members, non-voting members and honorary members. New members are either invited by the Club or nominated by a current member.
Non-voting membership is divided into 2 levels of contributions for individual and corporate members.
1 (a) Individual members shall contribute $275 per calendar year and shall be entitled to attend events and receive reports at no cost. Non-voting members shall have no right to vote in the Houston Energy Club. The amount of contribution required to become a non-voting member of the Houston Energy Club shall be set forth by the Chief executive officer of the Houston Energy Club. Individual members can be individuals or non-profit corporations that seek to support the mission of the Houston Energy Club. Individual membership is not transferable. The Chief executive officer shall have authority to admit any individual or organization as a member. At no time shall member information be shared with or sold to other organizations or groups without the member consent. At the discretion of the Chief executive officer, members may be given endorsement, recognition and media coverage at events, written material or at the corporation. website.
1 (b) Corporate members shall contribute $750 per calendar year and shall have up to three representatives entitled to attend events and receive reports at no cost. Non-voting members shall have no right to vote in the Houston Energy Club. Corporate members can be profit corporations or limited liability companies that seek to support the mission of the Houston Energy Club. The Chief executive officer shall have authority to admit any corporation or LLC as a member. At no time shall member information be shared with or sold to other organizations or groups without the member consent. Corporate members may be given endorsement, recognition and media coverage at events, written material or at the corporation website.
1 (c) Voting members shall contribute $2,500 per year to the Houston Energy Club and shall be entitled to attend events and receive reports at no cost. The Houston Energy Club shall have a minimum of one and a maximum of three voting members. Francesco Stipo, founder of the Houston Energy Club, shall be the initial sole voting member with the right to vote and to elect officers and directors, as well as to amend the bylaws. The Chief executive officer shall have authority to admit any individual or organization as a voting member.
1 (d) The Houston Energy Club shall have an unlimited number of honorary members. Honorary members do not need to contribute funds to the Houston Energy Club and shall be entitled to attend events and receive reports at no cost. Honorary members shall have no right to vote in the Houston Energy Club. Honorary members shall be individuals currently or formerly holding positions in public institutions that seek to support the mission of the corporation. The Chief executive officer shall have authority to admit any individual as an honorary member. At no time shall member information be shared with or sold to other organizations or groups without the member consent. At the discretion of the Chief executive officer, honorary members may be given endorsement, recognition and media coverage at events, written material or at the corporation website.
2. Sponsorship
Sponsors shall contribute $2,500 per year and shall be entitled to have 5 representatives to attend one event. Sponsors shall have the right to present a speaker at one event and receive recognition at all events during one calendar year. The Chief executive officer shall have authority to admit any corporation or LLC as a sponsor. Please contact us if you are interested in becoming a sponsor.
3. Payments, Refunds and Termination
All payments are final. No refund allowed after payment is made. The Chief Executive Officer, at his own discretion, may terminate an individual, corporate membership or a sponsorship before the end of the year by refunding the amount of the annual fee.
4. Limitation of Liability
Members and sponsors agree that any liability arising out their membership in the Houston Energy Club shall be limited to the annual fee they paid.
5. Severability
In the event any provision of this Agreement is deemed to be void, invalid, or unenforceable, that provision shall be severed from the remainder of this Agreement so as not to cause the invalidity or unenforceability of the remainder of this Agreement. All remaining provisions of this Agreement shall then continue in full force and effect.
6. Law and Jurisdiction
All suits and special proceedings hereunder shall be construed in accordance with the laws and jurisdiction of the State of Texas, city of Houston, Harris County (United States of America).
